TRVL BRIDGING TERMS AND CONDITIONS

These TRVL Bridging Terms and Conditions (“Bridging Terms”) are supplemental to and shall be read together with the TRVL Terms of Use. All definitions (except as defined herein), terms, conditions, limitations, disclaimers and exclusions contained in the TRVL Terms of Use shall be applicable to your use of the TRVL Bridge (hereinafter defined) which is part of the trvl.com platform (“Platform”). When you use the TRVL Bridge, you agree to these Bridging Terms and any other terms and conditions incorporated herein by reference (collectively, these “Terms").

Any changes to these Bridging Terms will be in effect as of the “Last Updated Date” referred to at the top of this page. It is your sole responsibility to check the Platform for updates or amendments of the Terms from time to time and you waive any right to receive notice of such changes. Your continued use of the Bridge after the “Last Updated Date” will constitute your acceptance of and agreement to such changes.

You shall not access or use the TRVL Bridge if you: (i) do not agree to these Bridging Terms; (ii) are not of the age of majority in your jurisdiction of residence; (iii) are prohibited from using the TRVL Bridge by applicable laws in the country you reside in (including in the event you are located in a country that is subject to a U.S. government and/or United Nations sanction/embargo and/or you have been identified as a specially designated national or placed on any U.S. Government or United Nations list of prohibited, sanctioned or restricted parties) (iv) in our opinion, conduct, promote, or otherwise facilitate any illegal activity.

1.  TRVL BRIDGE

1. The TRVL Bridge is provided on the Platform to enable you to “Bridge” TRVL tokens (“Tokens”) from one blockchain that the Token is built on, such as Ethereum, to other blockchains where the Tokens can be Bridged to, such as Base or potentially with other blockchains (“TRVL Bridge”).

2. The TRVL Bridge is integrated on the Platform utilizing LayerZero Protocol’s messaging application that enables users to Bridge the Tokens. The TRVL Bridge backend infrastructure was not developed by us and is owned, operated and maintained by LayerZero Protocol and is subject to LayerZero Protocol’s terms of use. The TRVL Bridge is experimental in nature and is provided purely for your convenience. Your use of the TRVL Bridge is at your own risk and shall be subject to the disclaimers and exclusions of liability in clause 2 and 3 of these Bridging Terms.

3. The TRVL Bridge is a non-custodial application. To access the TRVL Bridge, you must use a non-custodial wallet that is enabled to connect with the TRVL Bridge (“Wallet”). When you connect your Wallet to the TRVL Bridge, you agree that you are solely responsible for the security and custody of the cryptographic private keys to such Wallet(s). Accordingly, we do not have custody or control over the contents of your Wallet and we have no ability to retrieve or transfer its contents. Your relationship with any given Wallet provider is governed by the applicable terms of service of such third-party Wallet providers.

4. The TRVL Bridge only supports Bridging of Tokens from certain blockchains (as provided on the TRVL Bridge interface). Do not use or attempt to Bridge unsupported cryptocurrency and/or any cryptocurrency to and from blockchains that are not supported by the TRVL Bridge. We hold no responsibility for any loss of Tokens caused by any use or attempt to Bridge Tokens between unsupported cryptocurrency or blockchain.

5. With or without any notice to you, we reserve the right to modify, amend, substitute, suspend, disable or remove the TRVL Bridge, any part of it or any contents in relation to it at any point of time. We also reserve the right to charge a fee for utilization of the TRVL Bridge. Any applicable fee will be published on the TRVL Bridge application or page from time to time.

2.  DISCLAIMERS

1. YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR ACCESS TO AND USE OF THE TRVL BRIDGE IS AT YOUR SOLE RISK, AND THAT THE TRVL BRIDGE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, WE, OUR SUBSIDIARIES, AFFILIATES, AND LICENSORS MAKE NO EXPRESS WARRANTIES AND HEREBY DISCLAIM ALL IMPLIED WARRANTIES REGARDING THE TRVL BRIDGE AND ANY PART OF IT, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, CORRECTNESS, ACCURACY, OR RELIABILITY. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, WE, OUR PARENT, SUBSIDIARIES, AFFILIATES, AND LICENSORS DO NOT REPRESENT OR WARRANT TO YOU THAT: (I) YOUR ACCESS TO OR USE OF THE TRVL BRIDGE WILL MEET YOUR REQUIREMENTS; (II) YOUR ACCESS TO OR USE OF THE TRVL BRIDGE WILL BE UNINTERRUPTED, TIMELY, SECURE OR FREE FROM ERROR; (III) THE TRVL BRIDGE OR ANY CONTENT, SERVICES, OR FEATURES MADE AVAILABLE ON OR THROUGH THE TRVL BRIDGE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (IV) THAT ANY DATA THAT YOU DISCLOSE WHEN YOU USE THE TRVL BRIDGE WILL BE SECURE.

2. WE TAKE SECURITY RISKS SERIOUSLY AND HAVE PUT IN PLACE THE NECESSARY SAFEGUARDS TO ENSURE SECURITY ON THE TRVL BRIDGE IN ACCORDANCE WITH INDUSTRY STANDARDS, HOWEVER, YOU ACCEPT THE INHERENT SECURITY RISKS OF PERFORMING THE TOKEN TRANSFER/BRIDGE USING THE TRVL BRIDGE, AND AGREE THAT WE HAVE NO LIABILITY OR RESPONSIBILITY FOR ANY BREACH OF SECURITY AND LOSS OF TOKENS AS RESULT OF SUCH SECURITY BREACH.

3. WE WILL NOT BE RESPONSIBLE OR LIABLE TO YOU FOR ANY LOSSES YOU INCUR AS A RESULT OF YOUR USE OF THE TRVL BRIDGE, INCLUDING BUT NOT LIMITED TO ANY LOSSES, DAMAGES OR CLAIMS ARISING FROM: (I) USER ERROR, SUCH AS FORGOTTEN PASSWORDS OR INCORRECTLY CONSTRUED SMART CONTRACTS OR OTHER TRANSACTION ERRORS; (II) SERVER FAILURE OR DATA LOSS; (III) CORRUPTED WALLET FILES; OR (IV) UNAUTHORIZED ACCESS OR ACTIVITIES BY THIRD PARTIES, INCLUDING, BUT NOT LIMITED TO, THE USE OF VIRUSES, PHISHING, BRUTE-FORCING OR OTHER MEANS OF ATTACK AGAINST THE TRVL BRIDGE, THE BLOCKCHAIN, OR ANY WALLET.

4. TOKENS ARE INTANGIBLE DIGITAL ASSETS THAT EXIST ONLY BY VIRTUE OF THE OWNERSHIP RECORD MAINTAINED IN A BLOCKCHAIN. ALL SMART CONTRACTS ARE CONDUCTED AND OCCUR ON THE DECENTRALIZED LEDGER WITHIN THE BLOCKCHAIN. WE HAVE NO CONTROL OVER AND MAKE NO GUARANTEES OR PROMISES WITH RESPECT TO SMART CONTRACTS OR THE BLOCKCHAIN.

5. WE ARE NOT RESPONSIBLE FOR LOSSES THAT OCCUR DURING BRIDGING USING THE TRVL BRIDGE THAT IS DUE TO A BLOCKCHAIN’S FAILURE OR ANY CONNECTED THIRD PARTY WALLET FAILURE, INCLUDING BUT NOT LIMITED TO LATE REPORT BY DEVELOPERS OR REPRESENTATIVES (OR NO REPORT AT ALL) OF ANY ISSUES WITH THE BLOCKCHAIN SUPPORTING THE TOKEN, INCLUDING FORKS, TECHNICAL NODE ISSUES, OR ANY OTHER ISSUES THAT RESULTS IN LOSS OF FUNDS AND/OR ANY CONNECTED WALLET RELATED ISSUES.

6. YOU WAIVE AND HOLD US AND OUR PARENT, SUBSIDIARIES, AFFILIATES AND OUR AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SERVICE PROVIDERS, CONTRACTORS, LICENSORS, LICENSEES, SUPPLIERS, AND SUCCESSORS HARMLESS FROM ANY AND ALL CLAIMS RESULTING FROM ANY ACTION TAKEN BY US AND ANY OF THE FOREGOING PARTIES RELATING TO YOUR USE OF THE TRVL BRIDGE OR ANY INVESTIGATIONS BY EITHER US OR SUCH PARTIES OR BY LAW ENFORCEMENT AUTHORITIES.

3.  EXCLUSION OF LIABILITY

1. YOU UNDERSTAND AND AGREE THAT WE, OUR PARENT, SUBSIDIARIES, AFFILIATES AND LICENSORS WILL NOT BE LIABLE TO YOU OR TO ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES WHICH YOU MAY INCUR, HOWSOEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, INCLUDING, WITHOUT LIMITATION, ANY LOSS OF PROFITS (WHETHER INCURRED DIRECTLY OR INDIRECTLY), LOSS OF GOODWILL OR BUSINESS REPUTATION, LOSS OF DATA, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, DIMINUTION OF VALUE OR ANY OTHER INTANGIBLE LOSS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

2. YOU ACKNOWLEDGE AND AGREE THAT WE HAVE MADE THE TRVL BRIDGE AVAILABLE TO YOU AND ENTERED INTO THESE TERMS IN RELIANCE UPON THE REPRESENTATIONS AND WARRANTIES, DISCLAIMERS AND LIMITATIONS/EXCLUSIONS OF LIABILITY SET FORTH HEREIN, WHICH REFLECT A REASONABLE AND FAIR ALLOCATION OF RISK BETWEEN US AND YOU AND FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN US AND YOU. WE WOULD NOT BE ABLE TO PROVIDE THE TRVL BRIDGE TO YOU WITHOUT THESE EXCLUSIONS/LIMITATIONS.

4.  ASSUMPTION OF RISK

1. User Risks. You represent that you are financially and technically sophisticated enough to understand the inherent risks associated with using cryptographic and blockchain-based systems, and that you have a working knowledge of the usage and intricacies of digital assets and Token Bridging. You understand that blockchain-based transactions are irreversible.

2. Volatility. You acknowledge and accept that the cost and speed of transacting with cryptographic and blockchain-based systems are variable and may increase dramatically at any time. You further acknowledge and accept the risk that your digital assets may lose some or all of their value while using the TRVL Bridge. You may suffer loss due to the fluctuation of the price of the Tokens in a trading pair or liquidity pool, experience significant price slippage and cost.

3. Tax Calculations. You are solely responsible for determining what, if any, taxes apply to your Token-related transactions when using the TRVL Bridge. We are not responsible for determining the taxes that apply to your transactions on the Platform.

4. Use of Blockchain and Wallets. The Platform does not store, send, or receive Tokens. Any transfer of Tokens is facilitated by third party service providers and occurs within or between the supporting blockchain, not on the Platform. You are solely responsible for the security of your Wallet connected to the TRVL Bridge. These Bridging Terms are not intended to, and does not, create or impose any fiduciary duties on us. To the fullest extent permitted by law, you acknowledge and agree that we owe no fiduciary duties or liabilities to you or any other party, and that to the extent any such duties or liabilities may exist at law or in equity, those duties and liabilities are hereby irrevocably disclaimed, waived, and eliminated

5. Inherent Risks with Digital Assets. There are risks associated with using digital assets, including, but not limited to, the risk of hardware, software and Internet connections, the risk of malicious software introduction, and the risk that third parties may obtain unauthorized access to information stored within your Wallet. You accept and acknowledge that we will not be responsible for any communication failures, disruptions, errors, distortions or delays you may experience when using the TRVL Bridge, however caused.

6. Regulatory and Legal Uncertainty. The regulatory regime governing blockchain technologies, cryptocurrencies and tokens is uncertain, including the TRVL Bridge and new regulations or policies may materially and/or adversely affect the use of the TRVL Bridge. The requirements under applicable law may vary from jurisdiction to jurisdiction. By accessing the Platform and using the TRVL Bridge, you agree that you are solely responsible for compliance with all laws and regulations applicable to you.

5.  INDEMNIFICATION

You agree to hold harmless and indemnify us and our parent, subsidiaries, affiliates, officers, agents, employees, contractors, advertisers, licensors, suppliers or partners from and against any claim, liability, loss, damage (actual and consequential) of any kind or nature, suit, judgment, litigation cost and attorneys' fees arising out of or in any way related to: (i) your breach of these Bridging Terms; (ii) your misuse of the TRVL Bridge; or (iii) your violation of applicable laws, rules or regulations in connection with your access to or use of the TRVL Bridge. You agree that we will have control of the defense or settlement of such claims.

6.  FORCE MAJEURE

1. Force Majeure Events. We will not be liable or responsible to you, nor be deemed to have defaulted under or breached these Bridging Terms, for any failure or delay in fulfilling or performing any of these Bridging Terms, when and to the extent such failure or delay is caused by or results from the following force majeure events (“Force Majeure Event(s)”): (a) acts of God; (b) flood, fire, earthquake, epidemics, pandemics, including the 2019 novel coronavirus pandemic (COVID-19), tsunami, explosion; (c) war, invasion, hostilities (whether war is declared or not), terrorist threats or acts, riot or other civil unrest; (d) government order, law, or action; (e) embargoes or blockades in effect on or after the date hereof; (f) strikes, labor stoppages or slowdowns or other industrial disturbances; (g) shortage of adequate or suitable Internet connectivity, telecommunication breakdown or shortage of adequate power or electricity; and (h) other similar events beyond our control.

2. Performance During Force Majeure Events. We will use diligent efforts to end the failure or delay and ensure the effects of such Force Majeure Events are minimized. We will resume the performance of our obligations as soon as reasonably practicable after the removal of the cause.

7.  PRIVACY POLICY

1. When you use the TRVL Bridge, the only information we collect from you is your wallet address, the address that you send Bridged Tokens to and the number of Tokens Bridged. We do not collect any other personal information when the TRVL Bridge is utilized. However, as the TRVL Bridge utilizes public blockchain networks, you understand and agree that information in relation to your wallet address, send wallet address, amount of Tokens Bridged, the time when the Tokens are Bridged and other related information are publicly available, and that we do not have any control nor are we responsible for such information you make available on public blockchains by utilizing the TRVL Bridge.

2. Notwithstanding, where applicable, our Privacy Policy describes the ways we collect, use, store and disclose your personal information (if any), and is hereby incorporated by this reference into these Terms. You agree that the collection, use, storage, and disclosure of your data (if any) is in accordance with our Privacy Policy.

3. We reserve the right to provide any information we may possess when requested by any law enforcement, through a court order, as part of any government investigation, or third party with rightful authority requests for information on you and any transaction you perform utilizing the TRVL Bridge.

8.  GOVERNING LAW, JURISDICTION AND CLASS ACTION WAIVER

All rights and obligations hereunder in connection with these Bridging Terms shall be governed by the laws of the British Virgin Islands, without regard to the conflicts of law provisions of such jurisdiction. The parties submit to the exclusive jurisdiction of the courts of the British Virgin Islands and any courts competent to hear appeals from those courts. Where permitted by law, you waive any right to participate in a class action against us.

9.  GENERAL

1. Entire Agreement. These Terms and our Privacy Policy constitute the entire legal agreement between you and us and will be deemed to be the final and integrated agreement between you and us, and govern your access to and use of the TRVL Bridge, and completely replace any prior or contemporaneous agreements between you and us related to your access to or use of the TRVL Bridge, whether oral or written.

2. Interpretation. The language in this Bridging Terms will be interpreted as to its fair meaning, and not strictly for or against any party.

2. Severability. Should any part of these Bridging Terms be held invalid, illegal, void or unenforceable, that portion will be deemed severed from these Bridging Terms and will not affect the validity or enforceability of the remaining provisions of these Bridging Terms.

2. No Waivers. Our failure or delay to exercise or enforce any right or provision of these Bridging Terms will not constitute or be deemed a waiver of future exercise or enforcement of such right or provision. The waiver of any right or provision of these Bridging Terms will be effective only if in writing and signed for and on behalf of us by a duly authorized representative.

2. Notices. We may provide you with notices (including, without limitation those regarding changes to these Bridging Terms) through postings on the Platform. Notices we provide by posting on the Platform will be effective upon posting. It is your responsibility to check on any notices we post.

2. Assignment. You may not assign any of your rights or obligations under these Bridging Terms, whether by operation of law or otherwise, without our prior written consent. We may assign our rights and obligations under these Bridging Terms at our sole discretion to an affiliate, or in connection with an acquisition, sale or merger.

2. Amendments. We may change, modify, amend, alter or supplement these Bridging Terms (each an “Amendment”) at any time at our sole discretion or in order to reflect (i) changes to applicable law that may be, or which may otherwise become, applicable to the TRVL Bridge, (ii) any developments that may otherwise reasonably be capable of materially adversely impacting the TRVL Bridge; or (iii) as we may in good faith deem advisable to protect our reputation or the effective operation of the TRVL Bridge.

2. Your continued use of the TRVL Bridge after any such Amendment shall constitute your consent to such Amendment and acceptance of the amended Bridging Terms. If we change, amend, modify, alter or supplement these Bridging Terms, we shall publish on the Platform the amended version of these Bridging Terms reflecting such Amendment. The revised Bridging Terms will be effective from the date of posting on the Platform or such other date as indicated in the amended Bridging Terms. You waive any right you may have to receive specific notice of such Amendment. If you do not agree to the Bridging Terms in effect when you access or use the TRVL Bridge, you must stop using the TRVL Bridge.
